These Terms & Conditions ("Terms") govern the provision of services by Journey Lab LLC, a limited liability company registered in the State of Wyoming, USA, with its registered office at 30 North Gould Street, Ste R, Sheridan, WY 82801 ("Journey Lab", "we", "us", or "our"), and the use of this website. By engaging our services or using this website, you ("Client", "you") agree to these Terms.
1. Services
Journey Lab LLC provides software engineering, workflow automation, technical consulting, custom software development, business-process automation, AI-powered tools, integrations between third-party platforms, technical project management, software implementation, and ongoing support (collectively, the "Services").
The specific scope, deliverables, timelines, and fees for any engagement are defined in a separate written proposal, statement of work, or service agreement ("Agreement") between Journey Lab LLC and the Client. In the event of a conflict between these Terms and a signed Agreement, the Agreement prevails.
2. Engagements & Quotes
All Services are provided on a business-to-business (B2B) basis. Quotes and proposals are valid for the period stated therein and are subject to change if the project scope changes. Work commences once the Client has confirmed acceptance of the applicable Agreement.
3. Fees & Payment
- Fees are set out in the applicable Agreement and are quoted in US Dollars (USD) or Euros (EUR).
- Payments are made by bank transfer unless otherwise agreed in writing.
- Invoices are due within the period stated on the invoice. Late payments may result in the suspension of Services.
- Unless stated otherwise, fees are exclusive of any applicable taxes, duties, or bank charges, which are the responsibility of the Client.
4. Client Responsibilities
The Client agrees to provide timely access to the information, systems, accounts, and personnel reasonably required for Journey Lab LLC to perform the Services. Delays caused by the Client may affect timelines and costs. The Client is responsible for ensuring it has the right to grant Journey Lab LLC access to any third-party platforms or data involved in the engagement.
5. Intellectual Property
Unless otherwise agreed in writing, upon full payment of the applicable fees, the Client receives ownership of, or a license to use, the custom deliverables created specifically for the Client. Journey Lab LLC retains ownership of its pre-existing tools, methodologies, frameworks, and general know-how, and may reuse such background materials on other engagements. Third-party components remain subject to their respective licenses.
6. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Services and to use it solely for the purpose of performing or receiving the Services.
7. Warranties & Disclaimers
Journey Lab LLC will perform the Services with reasonable skill and care in a professional manner. Except as expressly stated, the Services and any deliverables are provided "as is" without warranties of any kind, whether express or implied, including any implied warranties of merchantability or fitness for a particular purpose. Journey Lab LLC does not warrant that software will be uninterrupted or error-free.
8. Limitation of Liability
To the maximum extent permitted by law, Journey Lab LLC shall not be liable for any indirect, incidental, special, or consequential damages, or for loss of profits, revenue, data, or business opportunities. Journey Lab LLC's total aggregate liability arising out of or in connection with an engagement shall not exceed the total fees paid by the Client for the specific Services giving rise to the claim.
9. Term & Termination
Either party may terminate an engagement in accordance with the terms of the applicable Agreement. Upon termination, the Client shall pay for all Services performed and expenses incurred up to the effective date of termination.
10. Independent Contractor
Journey Lab LLC performs the Services as an independent contractor. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between the parties.
11. Changes to These Terms
Journey Lab LLC may update these Terms from time to time. The version in effect at the time an Agreement is entered into applies to that engagement. Continued use of this website constitutes acceptance of the then-current Terms.
12. Governing Law
These Terms and any engagement shall be governed by the laws applicable to Journey Lab LLC's place of registration, without regard to conflict-of-law principles. Any disputes shall be resolved in the competent courts of that jurisdiction, unless otherwise agreed in a signed Agreement.
